    The website firestartr.co (the “Site”) is operated by Firestartr LLP ("Firestartr"). Firestartr is registered in England and Wales under company number OC386861. The registered office address is 23 Berkeley Square, London W1J 6HA.

    Firestartr is a limited liability partnership which operates a curated co-investment platform backed by sector relevant angels.

  2. Binding nature of these Terms of Service

    These Terms of Service set out the terms and conditions (i) upon which you may make use of our Site and (ii) which are applicable to the application process accessible via the Site. These Terms of Service apply whether or not you are a registered user of the Site.

    By using the Site, you indicate that you accept these Terms of Service and that you agree to abide by them. If you do not agree to these Terms of Service, please refrain from using the Site.

  3. Your use of the Site and Application Process

    The Site may be used to generally view information, which is made available by Firestartr. You may also use the Site to complete an application for inclusion upon Firestartr’s incubation scheme and to seek investment for your business (an “Application”). You acknowledge that your ability to use the Site and, if desired, to submit an Application, is valuable consideration. Applications are processed at Firestartr’s discretion.

    YOU ACKNOWLEDGE THAT YOUR USE OF THE SITE AND SUBMISSION OF AN APPLICATION DOES NOT GUARANTEE THAT THE APPLICATION WILL BE SUCCESSFUL OR THAT YOU WILL RECEIVE ANY INVESTMENT FROM FIRESTARTER OR ANY OTHER PARTY.

    When using the Site and conducting an Application you make available information and other content to Firestartr (“Information”) which may include details about you, your business and the funding that is sought. Such Information may also include details relating to your business model, the directors and shareholders in your business, your current investors, your business plans and related information.

    When using the Site you warrant and represent that:

    • all Information is, to the best of your knowledge, complete, accurate and not misleading;

    • you have all rights, consents, licences and permissions required to provide the Information to Firestartr and to submit the Application and that no restrictions exist which will prevent Firestartr from using such Information in accordance with these Terms of Service and the Sites’ Privacy Policy (as further described below);

    • you are authorised to act on behalf of the business for whom an Application is made and each individual whose personal information is made available as part of the Application process;

    • the Information does not infringe the rights of any other party, such intellectual property rights, and is not illegal, defamatory, immoral, tortuous, vulgar, obscene, invasive of another's privacy, hateful, or racially, ethnically or otherwise objectionable;

    • you are not restricted from submitting the Information by any duty of confidentiality and that your use of the Site and any Application is in accordance with all local laws;

    • any Application submitted by you will be genuine and be created in good faith with the intention to seek investment for the business identified;

    • you will not upload, post, email or otherwise transmit any viruses or any other code or programs designed to adversely affect or limit the functionality of the Site or any software, or hardware or telecommunications equipment.

    You agree to indemnify and hold Firestartr and its affiliated companies (and their officers, agents, representatives and employees) harmless for all losses, costs and expenses arising from your non-compliance with any of the foregoing warranties and representations.

  4. Use of INFORMATION - Confidentiality

    You acknowledge that Firestartr shall be entitled to use the Information to operate the Site, to assess any Application and in accordance with the Site’s privacy policy located at [insert URL] (the “Privacy Policy”). You further acknowledge that your Information may be shared with third parties as further described in the Privacy Policy.

    Firestartr also has the right to disclose your identity and the Information when required by court or law enforcement agency and to any third party who claims that any material posted or uploaded by you to the Site constitutes a violation of their rights such as intellectual property rights, or of their right to privacy.

    Subject to the foregoing, Firestartr undertakes that it will use reasonable endeavours to keep the Information confidential and not to disclose it to any third party unless such information has been anonymised in such a manner that it cannot identify you or your business.

    If you are provided with or select a user ID and/or password relating to the Site, you must treat such information as confidential, and you must not disclose it to any third party. Firestartr have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Terms of Service.

  5. Disclaimer of Warranties

    The material displayed on the Site is provided without any guarantees, conditions or warranties as to its accuracy. To the extent permitted by law, Firestartr, other members of our group of companies and third parties connected to us hereby expressly exclude all conditions, warranties and other terms which might otherwise be implied by statute, common law or the law of equity relating to the site.

  6. Non-Reliance on the Site and Content Linked to

    All materials posted on the Site and anything which is made available pursuant to the Application process are not intended to amount to advice on which reliance should be placed. Nor should any reliance be placed upon the assumption that an Application will be successful or will lead to any investment. To the maximum extent permitted by law, Firestartr therefore disclaims all liability and responsibility arising from any reliance placed upon that Application process by any party and/or on the Site’s content by any visitor to the Site, or by anyone who may be informed of any of its contents.

    Where the Site contains links to other sites and resources provided by third parties, these links are provided for your information only. Firestartr have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

  7. Exclusion of Liability for Firestarter, Group Companies and Related Third Parties

    Subject to the following, under no circumstances shall Firestartr, other members of our group of companies and third parties connected to us be liable to You or any other party for any of the following types of loss or damage arising from or in relation to the Application Process, the use, inability to use and results from the Site, any websites linked to the Site and any materials posted on the Site, (whether such loss or damage arises from breach of contract, misrepresentation (whether tortious or statutory), tort (including but not limited to negligence), breach of statutory duty, or otherwise:

    • any loss of profits, business, contracts, anticipated savings, goodwill, or revenue, any wasted expenditure, increased cost of working or any loss or corruption of data (regardless of whether any of these types of loss or damage are direct, indirect or consequential); or

    • any indirect or consequential loss or damage whatsoever,

    even if the Firestartr was aware of the possibility that such loss or damage might be incurred.

    In addition, Firestartr will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Site or to your downloading of any material posted on it, or on any website linked to it.

    The foregoing exclusion does not affect our liability for death or personal injury arising from our negligence, our liability for fraudulent misrepresentation or concealment, or any other liability which cannot be excluded or limited under applicable law.

  8. Intellectual property rights

    You retain copyright and any other rights you already hold in Information which you make available via the Site or otherwise. By making Information available to Firestartr, you are granting Firestarter an irrevocable, royalty-free, worldwide, perpetual, sub-licensable, and non-exclusive license to use the Information and to adapt and modify it for the purposes described in these Terms of Service and the Privacy Policy.

    Firestartr is the owner or the licensee of all intellectual property rights in the Site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

    You may print off one copy, and may download extracts, of any page(s) from the Site for your personal reference and you may draw the attention of others within your organisation to material posted on the Site.

    You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

    You must not use any part of the materials on the Site for commercial purposes without obtaining a licence to do so from us or our licensors.

  9. Viruses, hacking and other offences

    You must not misuse the Site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the Site, the server on which the Site is stored or any server, computer or database connected to the Site. You must not attack the Site via a denial-of-service attack or a distributed denial-of service attack.

    By breaching this provision, you would commit a criminal offence under the Computer Misuse Act 1990. Firestartr will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the Site will cease immediately.

  10. Accessing the Site

    Access to the Site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on the Site without notice (see below). Firestartr will not be liable if for any reason the Site is unavailable at any time or for any period.

    From time to time, we may restrict access to some parts of the Site, or our entire site, to users who have registered with us.

    You are responsible for making all arrangements necessary for you to have access to the Site. You are also responsible for ensuring that all persons who access the Site through your internet connection are aware of these terms, and that they comply with them.

  11. Jurisdiction and applicable law

    These Terms of Service and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.

    The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to the Site although we retain the right to bring proceedings against you for breach of these conditions in your country of residence or any other relevant country.

  12. Variations

    Firestarter may revise these Terms of Service at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we made, as they are binding on you. Some of the provisions contained in these Terms of Service may also be superseded by provisions or notices published elsewhere on the Site.
